Terms of Service

1. About AI Lead Respond

AI Lead Respond is a software-as-a-service (SaaS) platform that provides AI-powered customer reply generation for automotive dealerships and their sales teams. The Service is operated by AI Lead Respond and is accessible at aileadrespond.com, through a Chrome browser extension, and through related applications. AI Lead Respond uses artificial intelligence technology to generate personalized email and text message replies based on customer messages and information provided by the user.

2. Eligibility and Account Registration

To use AI Lead Respond, you must be a licensed automotive dealership, dealer group, or authorized representative thereof, and at least 18 years old. By creating an account, you represent and warrant that:

• You are authorized to enter into this agreement on behalf of your dealership or organization
• All information you provide is accurate, current, and complete
• You will maintain the accuracy of your account information
• You are responsible for all activity that occurs under your account credentials
• You will keep your password confidential and notify us immediately of any unauthorized use
• You are not a competitor accessing the Service for benchmarking, copying, or competitive analysis purposes

3. Subscription Tiers and Billing

AI Lead Respond operates on a month-to-month subscription basis with no setup fees and no long-term contracts required. Plans are:

• Starter — $295/month: 10 users included, 5,000 reply credits per month, unlimited stores
• Growth — $495/month: 30 users included, 15,000 reply credits per month, unlimited stores
• Enterprise — $995/month: Unlimited users, 50,000 reply credits per month, unlimited stores

By subscribing, you agree to:

• Pay all applicable fees for your selected plan and any add-on users
• Provide accurate billing information and authorize us to charge your payment method
• Be billed automatically on your monthly or annual renewal date until you cancel
• Pay overage charges of $25 per additional 1,000 credits beyond your plan's monthly allotment
• Pay $10 per additional user per month above your plan's included user count, which adds 500 credits per user to your monthly allotment (Starter and Growth plans only — Enterprise has unlimited users)

Annual subscribers receive one month free (12 months of service for the price of 11). Subscription fees are non-refundable except as expressly provided in these terms. Custom pricing arrangements may be agreed in writing for select customers.

4. Cancellation and Refunds

You may cancel your subscription at any time by contacting support@aileadrespond.com. Upon cancellation:

• Your service will continue through the end of the current billing period
• You will not be charged for subsequent billing periods
• No partial refunds will be issued for unused time within a billing period
• You will retain access to your data for 30 days following cancellation, after which it may be permanently deleted

5. Acceptable Use

You agree to use AI Lead Respond only for legitimate business purposes related to your automotive dealership operations. You will not:

• Use the Service to generate content that is illegal, deceptive, harassing, defamatory, or misleading
• Generate content for businesses or purposes outside the automotive industry without prior written authorization from us
• Share account credentials with unauthorized users or third parties
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Service
• Copy, modify, create derivative works of, or otherwise reproduce the Service or any portion thereof
• Use the Service to build a competing product or service, or to scrape data for competitive analysis
• Use automated tools, bots, scripts, or scrapers to interact with the Service except as we explicitly permit
• Resell, sublicense, white-label, or redistribute the Service or its outputs as your own product without a separate written agreement
• Submit content that violates third-party intellectual property, privacy, or publicity rights
• Use the platform in violation of CAN-SPAM, TCPA, GDPR, CCPA, or other applicable communication and privacy laws
• Attempt to circumvent usage limits, security controls, or rate limits
• Probe, scan, or test the vulnerability of the Service or any related infrastructure

We reserve the right to suspend or terminate accounts that violate these terms.

6. AI-Generated Content

AI Lead Respond uses third-party AI models (including but not limited to Anthropic's Claude) to generate replies. You acknowledge that:

• AI-generated content may contain inaccuracies or errors and should always be reviewed before sending to customers
• You are solely responsible for the content you send to customers, regardless of whether it was AI-generated or modified
• You should verify pricing, vehicle specifications, financing terms, availability, and any factual claims before sending replies
• AI Lead Respond does not guarantee the accuracy, appropriateness, or effectiveness of generated content
• You will not represent AI-generated content as having been authored by a specific named human if doing so would be deceptive

7. Intellectual Property

AI Lead Respond, including its software, source code, templates, design, brand, logos, and documentation, is owned by AI Lead Respond and protected by copyright, trademark, trade secret, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of your customer data and the content you input into the Service. You grant AI Lead Respond a limited license to process your inputs solely for the purpose of providing the Service to you.

Generated reply content becomes yours to use freely once produced. AI Lead Respond does not claim ownership over your generated outputs. However, you acknowledge that similar or identical outputs may be generated for other users from similar inputs, and AI Lead Respond does not warrant the uniqueness of any generated content.

8. Chrome Browser Extension

The AI Lead Respond Chrome extension is an optional companion to the web application. By installing the extension, you agree that:

• The extension is provided subject to these Terms and our Privacy Policy
• The "Auto-fill from page" feature reads only the sender's display name from Gmail or Outlook and only when you click the button — it does not read message bodies, attachments, or other content
• Your last 5 reply generations are stored locally on your device for convenience and can be cleared at any time
• You may uninstall the extension at any time, which removes all locally-stored extension data
• Continued use of the extension constitutes acceptance of any updates we publish through the Chrome Web Store

9. User Data and Privacy

Your use of AI Lead Respond is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

Customer messages submitted to the platform are transmitted to third-party AI services for the purpose of generating replies. These messages are not persistently stored on our servers, are not shared with other AI Lead Respond customers, and are not used for AI model training.

10. Beta Features and New Functionality

From time to time we may release features marked as "beta," "preview," or otherwise designated as in development. Beta features are provided "as is," may be unstable or unavailable, and may be modified or discontinued at any time without notice. Beta features are not subject to any service-level commitments and your use of them is at your own risk.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. AI Lead Respond may be temporarily unavailable due to scheduled maintenance, third-party AI service interruptions, hosting provider issues, internet outages, or events beyond our reasonable control. We do not currently offer a formal Service Level Agreement (SLA). We are not liable for any losses resulting from service interruptions.

12. Account Suspension and Termination

We may suspend or terminate your account, in whole or in part, at our discretion if:

• You fail to pay subscription fees when due
• You violate these Terms or our Acceptable Use policy
• Your account shows signs of compromise, fraud, or unauthorized access
• Your use of the Service threatens the security or stability of our infrastructure
• We are required to do so by law or court order
• We discontinue the Service (with at least 30 days' notice and a pro-rata refund of any unused prepaid fees)

You may terminate your account at any time by canceling your subscription as described in Section 4.

13. Limitation of Liability

To the maximum extent permitted by law, AI Lead Respond and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from these Terms or your use of the Service is limited to the fees you paid us in the three (3) months preceding the claim.

14. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be error-free, secure, or uninterrupted. We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose.

15. Indemnification

You agree to indemnify, defend, and hold harmless AI Lead Respond and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you submit or send through the platform.

16. Modifications to Service and Terms

We may modify the Service or these Terms at any time. Material changes to the Terms will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

17. Governing Law and Dispute Resolution

These Terms of Service are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in New York. You and AI Lead Respond each consent to the personal jurisdiction of those courts and waive any objection to venue.

18. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AI Lead Respond regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
